Terms of service

The agreement between you and Cartly: what we provide, what you pay for, and what each of us is responsible for.

Please read section 4 carefully: the onboarding fee is non-refundable.

Last updated 30 October 2026

1. Who we are and what these terms cover

Cartly is operated by Nerdstack Software Technologies Ltd (“Cartly”, “we”, “us”), Abuloma, Port Harcourt, Rivers State, Nigeria.

These terms apply when you create a Cartly account, onboard a business, pay any fee, use a Cartly dashboard, website or storefront we build or host for you, connect an integration, or use our APIs.

By creating an account, paying the onboarding fee or using our services, you accept these terms and our Privacy Policy. If you accept on behalf of a business, you confirm you are authorised to bind it.

If you do not agree, do not use Cartly.

2. Definitions

“Client” or “you”: the person or business that signs up and onboards a business on Cartly.

“Business”: a business you set up on Cartly, with its own dashboard, team, data and website.

“Website” or “storefront”: the site we design, build and/or host for your business, including custom-built storefronts.

“Dashboard”: the Cartly dashboard for your business, at cartly.nerdstackgrp.com or on your own domain.

“Shoppers” or “your customers”: people who visit, buy from, book with or contact your business through your website.

“Your content”: everything you or your team provide or upload: logos, photos, product details, prices, text and customer data.

3. Your account

You must be at least 18 and give accurate details. Keep your sign-in details secret and tell us at once if you think your account is compromised.

You are responsible for everything done through your account and by the team members you invite. Give each person only the role they need.

You can sign in with email and password, or with Google or Apple; when you do, you also follow that provider’s terms.

One business may not hold several accounts to obtain extra free periods, discounts or onboarding offers.

4. The onboarding fee (non-refundable)

To submit a business for setup you pay a one-time onboarding fee, shown in the onboarding flow before you pay.

The onboarding fee includes VAT at the current rate (7.5%). A payment processing fee charged by the payment provider is added at checkout and shown before you pay; it is not refundable either.

The onboarding fee pays for reviewing your request, setting up your business on Cartly, assigning our team and the initial consultation. That work starts as soon as the fee is confirmed.

The onboarding fee is non-refundable, in full or in part, once paid. This applies if you change your mind, do not go ahead with a website, do not reply to our team, do not provide the content we need, or if your request is declined because it breaks these terms.

The onboarding fee is separate from, and not credited against, the website development fee, any domain purchase, subscription plans, add-ons or payment-provider charges.

If you pay in a currency other than our base price, the amount is converted at that day’s rate; the payment provider confirms the final amount and may add its own charges.

Your request is submitted only after the payment provider confirms the payment. If a payment fails, nothing is charged and you may try again.

The only exceptions are a duplicate charge for the same request, or a charge taken when the provider did not confirm the payment to us. Tell us within 14 days and we will refund the extra charge to the original payment method.

5. Website design and development

After onboarding, our team agrees the scope, price and timeline of your website with you in writing (email or the dashboard counts). That written scope, together with these terms, is our agreement for the build.

Work starts once any agreed deposit is paid. The balance is due before the website is published or handed over, unless we agree otherwise in writing.

Deposits for development cover time and work already committed and are non-refundable once design work has started.

The agreed scope includes the number of revision rounds stated in it. Further changes, new pages or features are quoted separately.

You must provide your content (logo, photos, product details, prices, text, policies) and approvals on time. Timelines move with delays on your side. If you do not respond for 30 days, we may pause the project; restarting may need a new timeline and price.

You confirm your content is accurate and that you have the right to use it. We may use stock or placeholder images while building; replace them with your own before launch if you do not have a licence for them.

Your website is considered accepted when you approve it, or 14 days after we deliver it for review if you have not reported material problems.

6. Plans, free periods and billing

Hosting, the dashboard and platform features are provided under the plan shown in your dashboard. Prices, limits and features of each plan are shown there before you buy.

Introductory or free periods end automatically on the date shown. To keep your website online afterwards, choose a paid plan before that date.

Paid plans renew automatically for the same period until you cancel. You can cancel at any time in your dashboard; cancellation takes effect at the end of the period already paid, and that period is not refunded.

If a renewal payment fails, we will remind you. After a grace period your website and dashboard may be limited or suspended until payment is made.

We may change prices or plans with at least 30 days’ notice. The change applies from your next renewal; if you do not accept it, cancel before then.

Prices exclude taxes, which are added where the law requires.

7. Domains

Domains you buy through Cartly are registered in your business’s name through our registrar partner, for the period you pay for. Domain fees are non-refundable once the registration is made.

You are responsible for renewing your domain. If it lapses, your website may go offline and the name may become available to others.

If you connect a domain you already own, you are responsible for its DNS records and renewal with your own registrar.

You may transfer a domain bought through Cartly away, subject to the registry’s rules (for example, no transfer in the first 60 days).

8. Selling, payments and your customers

Payments on your website are processed by third-party payment providers (such as Paystack) under your own merchant account with them. Cartly is not the seller, not a bank and not the merchant of record: the contract of sale is between your business and your customer.

Payment providers charge their own fees and may hold, reverse or refuse payments under their terms. We are not responsible for their decisions.

For bank transfer orders, you confirm receipt yourself; Cartly does not hold or verify funds.

You are responsible for your products and services: accurate descriptions and prices, stock, delivery, quality, refunds, returns, complaints, receipts and taxes, and for complying with consumer protection, food safety and other laws that apply to your business.

Publish your own refund, delivery and contact information on your website, and honour it.

Your customers’ personal data belongs to your business. Cartly processes it on your behalf as described in the Privacy Policy; you must have a lawful basis to collect it and must use it lawfully.

9. Acceptable use

You must not use Cartly to sell, promote or provide anything illegal, counterfeit, stolen, or that needs a licence you do not hold; to run scams, pyramid schemes or misleading offers; to infringe anyone’s intellectual property or privacy; to send spam; or to host malware or phishing.

You must not try to access other businesses’ data, probe or overload our systems, bypass limits or security, or resell Cartly without our written agreement.

We may remove content or suspend a website or account that breaks this section, without refund, and report illegal activity to the authorities.

10. Search engines and integrations

Cartly can prepare your website for search engines (sitemaps, page information, structured data) and connect services such as Google Search Console and Bing Webmaster Tools if you authorise them.

Search engines decide independently whether and where to show your pages. We do not guarantee rankings, traffic or sales.

Integrations are provided by third parties under their own terms and may change or stop working. You can disconnect them at any time from your dashboard.

11. Ownership and licences

Your content remains yours. You give us a licence to host, copy, display and adapt it as needed to provide the services, and to show your website in our portfolio unless you ask us not to.

Cartly, its software, dashboards, templates, shared components and APIs remain ours. While your account is in good standing, you may use them for your business.

Designs made specifically for your business become yours once the website is fully paid. Shared platform code, components and templates used to build it stay ours and may be reused for other clients.

12. Availability, support and changes

We work to keep Cartly available and secure, but do not promise uninterrupted service. Maintenance, provider outages and events outside our control can cause downtime.

Support is available by email and through your dashboard during business hours in Nigeria.

We improve Cartly continuously and may change or retire features. If a change materially reduces a paid feature you rely on, we will give reasonable notice.

Keep your own copies of important content. We back up our systems, but backups are for disaster recovery, not a promise to restore your individual changes.

13. Suspension and termination

You may close your account at any time from your dashboard or by email. Fees already paid, including the onboarding fee, are not refunded.

We may suspend or close an account for non-payment, breach of these terms, a risk to other users or our systems, or where the law requires.

After closure, your website goes offline. You may request an export of your business data within 30 days; after that we may delete it, except what we must keep by law (for example, financial records).

14. Liability

Cartly is provided “as is” to the extent the law allows. We are not liable for lost profits, revenue, data or goodwill, or for indirect or consequential losses.

Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

You will compensate us for claims and costs arising from your content, your products or services, your dealings with your customers, or your breach of these terms or the law.

15. Law, disputes and changes to these terms

These terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, contact us first; we will try to resolve it within 30 days. If we cannot, either party may refer it to the courts of Rivers State, Nigeria.

We may update these terms. We will show the new date at the top and, for material changes, notify you by email or in your dashboard at least 14 days before they apply. Continuing to use Cartly after that means you accept them.

If any part of these terms is unenforceable, the rest still applies.
